Terms and Conditions
1. About Us
These Terms and Conditions govern the provision of services by Third Sector AI (“we”, “us”, “our”) to clients (“you”). Third Sector AI is a sole trader consultancy registered in England and Wales.
By engaging our services or purchasing our products, you agree to these Terms. Please read them carefully before proceeding.
2. Our Services
We provide AI consultancy, implementation, and training services to non-profit organisations, charities, and social enterprises, including:

3. Proposals and Contracts
For paid engagements, we will provide a written proposal setting out the scope of work, deliverables, timeline, and fees. A contract is formed when you accept the proposal in writing (including by email).
Any changes to agreed scope must be agreed in writing by both parties. Scope changes may result in revised fees and timelines.
4. Fees and Payment
4.1 Consultancy engagements

Payment is required before work commences

The remaining balance is due on completion and sign-off of the agreed deliverables

Invoices are payable within 14 days of issue

Late payment may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts Act 1998
4.2 AI Self-Help Toolkit

Full payment is required at point of purchase via Gumroad

Access to toolkit materials is provided immediately upon confirmed payment
5. Cancellation and Refunds
5.1 Consultancy engagements
Where you cancel a confirmed engagement:

More than 7 days before work commences: refunded in full

7 days or fewer before work commences: deposit is non-refundable

After work has commenced: you are liable for the proportion of fees corresponding to work completed
5.2 AI Self-Help Toolkit
As a digital product delivered immediately upon purchase, the AI Self-Help Toolkit is exempt from the 14-day cooling-off period under the Consumer Contracts Regulations 2013. By completing your purchase, you acknowledge and agree to this. We will consider refund requests made within 48 hours of purchase on a case-by-case basis where the product has not been accessed.
6. Intellectual Property
All deliverables produced as part of a consultancy engagement — including workflow documentation, implementation guides, prompt libraries, and handover materials — become your property upon receipt of full payment.
We retain the right to use general methodologies, frameworks, and approaches developed in the course of our work in future engagements. We will not share client-specific data or materials with third parties.
The AI Self-Help Toolkit and all materials within it remain the intellectual property of Third Sector AI. You are licensed to use the toolkit for your organisation’s internal purposes only. Redistribution, resale, or sharing outside your organisation is not permitted.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives termination of the contract for a period of three years.
We will not use your organisation’s data, systems, or information for any purpose other than delivering the agreed services.
8. Use of AI Tools
Our services involve the use of AI tools, including large language models. We do not input identifiable personal data or sensitive beneficiary information into AI systems without your explicit agreement. Please see our AI Usage Policy for full details.
9. Limitation of Liability
Our total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement.
We are not liable for: indirect or consequential losses; loss of data; loss of revenue or profit; or any outcome arising from your use of AI tools or workflows we have implemented, after handover.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any matter that cannot be excluded by law.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms from time to time. The current version will be published on our website. For ongoing engagements, we will provide at least 30 days’ notice of material changes.
